Terms and Conditions

These Terms and Conditions govern access to and use of the Wistudi platform.

Please read them carefully. By creating an account, accessing Wistudi, purchasing credits or services, uploading content, or using any part of the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use Wistudi.


1. About Wistudi

Wistudi is operated by Wistudi Publishing, trading as Wistudi, a company incorporated in England and Wales.

In these Terms:

  • “Wistudi,” “we,” “us,” or “our” means the company operating the Platform.
  • “Platform” means the Wistudi websites, applications, services, APIs, tools, content builders, video features, learning tools, and related services.
  • “User” or “you” means any person or organisation accessing the Platform.
  • “Creator” means a User who creates, uploads, imports, publishes, embeds, adapts, or shares content.
  • “Learner” means a User who accesses or participates in learning content.
  • “Organisation” means a school, college, training provider, business, employer, charity, or other entity using Wistudi.
  • “User Content” means content uploaded, created, submitted, imported, embedded, linked, published, or shared by a User.

Wistudi is initially intended to operate across the Asia-Pacific region, although access may be provided in other territories.

Availability in a country does not mean that every feature, payment method, integration, or service is available there.


2. Other Policies

These Terms should be read together with:

  • The Wistudi Privacy Policy
  • The Wistudi Cookie Policy
  • The Wistudi Acceptable Use and Community Standards
  • The Wistudi Copyright and Takedown Policy
  • The Wistudi Data Processing Addendum
  • Any plan, subscription, organisation, or promotional terms presented to you

These documents form part of the agreement between you and Wistudi where applicable.

If separate commercial terms agreed with an Organisation conflict with these Terms, the separately signed agreement will take priority to the extent of the conflict.


3. Eligibility and Minimum Age

You must be at least 16 years old to independently create a Wistudi account.

By registering independently, you confirm that:

  • You are at least 16 years old.
  • You are legally able to agree to these Terms.
  • The information you provide is accurate.
  • Your use of Wistudi is permitted in your country.

Users under 16 may only use Wistudi through an approved:

  • School-managed account
  • Organisation-managed account
  • Parent- or guardian-authorised account
  • Other supervised arrangement approved by Wistudi

Users under 16 must not independently:

  • Purchase subscriptions or credits
  • Enter into paid contracts
  • Publish content publicly
  • Make content Discoverable
  • Manage other learners
  • Use restricted communication features

Wistudi may request reasonable evidence of age, consent, authority, or supervision.

We may restrict or close an account where required consent or authority cannot be confirmed.


4. School-Managed and Parent-Authorised Accounts

A school or Organisation may create, invite, approve, or manage accounts for learners under 16.

The school or Organisation confirms that it:

  • Has authority to provide access to the learner.
  • Has identified a lawful basis for processing learner information.
  • Has provided all legally required notices.
  • Has obtained parental or guardian consent where required.
  • Will only provide Wistudi with information reasonably necessary to deliver the service.
  • Will manage account access when a learner leaves the Organisation.
  • Will respond appropriately to safeguarding and data-protection concerns.

Where an account is parent- or guardian-authorised, the parent or guardian:

  • Accepts these Terms on behalf of the child.
  • Is responsible for supervising the child’s use.
  • Must provide accurate information.
  • May request access, correction, or deletion where legally permitted.
  • Must not permit the child to use features that are restricted by age.

Wistudi may apply age-appropriate privacy settings and restrict selected features for younger Users.

Where Wistudi processes personal data on behalf of a school or Organisation, the parties must enter into or accept the Wistudi Data Processing Addendum.


5. Account Registration

You may need an account to use most Wistudi features.

You agree to:

  • Provide accurate and current information.
  • Maintain only the accounts you are authorised to use.
  • Keep your account details updated.
  • Protect your password and access credentials.
  • Notify Wistudi promptly about suspected unauthorised access.
  • Accept responsibility for activity carried out through your account.

You must not:

  • Impersonate another person.
  • Register using another person’s email without permission.
  • Share an account between unauthorised Users.
  • Allow another person to complete graded work through your account.
  • Create multiple accounts to bypass restrictions.
  • Sell, transfer, rent, or trade an account.
  • use automated methods to create accounts.

Wistudi may temporarily restrict an account while investigating suspected fraud, misuse, or unauthorised access.


6. Account Security

You are responsible for taking reasonable steps to secure your account.

You should:

  • Use a strong and unique password.
  • Sign out on shared devices.
  • Keep your email account secure.
  • Avoid sharing sign-in links or authentication information.
  • Review unusual account activity promptly.

Wistudi will not ask you to disclose your full password.

If you believe your account has been compromised, you must reset your password and contact Wistudi Support promptly.


7. Platform Spaces and Features

A Wistudi account may provide access to:

Learner Space

Learner Space allows Users to:

  • Access Flows and Interactive Videos
  • Complete activities
  • Submit responses and assignments
  • Review progress
  • Receive results and feedback
  • Participate in shared learning experiences

Creator Space

Creator Space allows eligible Users to:

  • Create Flows
  • Create Interactive Videos
  • Add content and activities
  • Upload or embed media
  • Publish and share learning experiences
  • Manage learners
  • Review reports and analytics

Access to features may depend on:

  • Account status
  • Age
  • Permissions
  • Organisation settings
  • Subscription or plan
  • Credit balance
  • Storage allowance
  • Content status
  • Publishing activity
  • Learner activity
  • Geographic availability

Wistudi does not guarantee that every feature will be available to every User.


8. User Content Ownership

You retain ownership of the original User Content you create and upload.

Wistudi does not claim ownership of your original:

  • Lessons
  • Videos
  • Images
  • Documents
  • Questions
  • Activities
  • Assignments
  • Written materials
  • Branding
  • Learner submissions
  • Other original content

You are responsible for keeping independent copies of important content.

Wistudi is not intended to be the only permanent backup of your files.


9. Licence Granted to Wistudi

By uploading, creating, submitting, importing, or publishing User Content, you grant Wistudi a worldwide, non-exclusive, royalty-free licence to:

  • Host and store the content
  • Copy it for operational and backup purposes
  • Display it to authorised Users
  • Process it through Platform features
  • Format, resize, encode, transcode, or compress it
  • Create thumbnails or technical previews
  • Distribute it according to your sharing settings
  • Generate reports, activity records, and analytics
  • Moderate it
  • Provide technical support
  • Protect the Platform and its Users

This licence is limited to what is reasonably required to operate, maintain, secure, and improve Wistudi.

It does not give Wistudi ownership of your User Content.

If you make content publicly Discoverable, you also authorise Wistudi to:

  • Display the content publicly within Wistudi.
  • Include it in search and recommendations.
  • Display its title, thumbnail, description, creator name, and related information.
  • Promote it through Wistudi’s own services and communications.

You may withdraw public availability through the available controls, subject to existing learner access, legal requirements, backups, and reasonable processing time.


10. Your Responsibility for User Content

You are legally responsible for the content you upload, import, embed, publish, or share.

You confirm that:

  • You created the content or have sufficient rights to use it.
  • You have permission to upload or display all included media.
  • You have obtained any required copyright licences.
  • You have obtained permission from people appearing in the content where required.
  • You have obtained permission to use personal information.
  • The content does not violate confidentiality obligations.
  • The content does not infringe copyright, trademark, privacy, publicity, database, moral, or other rights.
  • The content complies with applicable laws and these Terms.
  • You have the authority to share the content with the intended audience.
  • You have the authority to commercialise it where monetisation is enabled.

The fact that content is publicly available elsewhere does not automatically mean that you have permission to copy, adapt, monetise, download, or republish it.

Educational use does not automatically remove the need to comply with copyright law.


11. External Videos and Third-Party Content

Wistudi may allow Users to add or display content from external services such as:

  • YouTube
  • Vimeo
  • Google services
  • Video-hosting services
  • Cloud-storage services
  • Conferencing services
  • Other external websites

External content remains subject to the rights of its owner and the terms of the external provider.

When using external content, you agree that you will:

  • Use official links, embeds, players, or authorised APIs.
  • Follow the external provider’s terms and policies.
  • Respect copyright and other intellectual-property rights.
  • Respect age restrictions and geographic restrictions.
  • Respect advertising, branding, and attribution requirements.
  • Obtain any separate permission required for classroom, public, commercial, or paid use.
  • Stop using the content if you no longer have permission.

You must not:

  • Download an external video without permission.
  • Re-upload another person’s video as your own.
  • Remove or obscure provider branding.
  • Remove advertisements from an external player.
  • Alter or interfere with the official player.
  • Circumvent geographic, age, subscription, or access restrictions.
  • Disable security or rights-management controls.
  • Manipulate video views, likes, engagement, or analytics.
  • Extract or scrape provider data without authorisation.
  • Claim ownership of external content.
  • Monetise third-party content without all necessary rights.
  • Use another person’s video in a misleading or harmful context.
  • Use external content after it has been removed or restricted by its provider.

12. YouTube Content

Where Wistudi supports YouTube content, the YouTube video must normally be displayed through the official YouTube player or an authorised YouTube API integration.

Users must comply with:

  • YouTube’s Terms of Service
  • YouTube’s Community Guidelines
  • YouTube API Services Terms
  • YouTube Developer Policies
  • The rights of the video owner
  • Applicable copyright and privacy law

Adding activities, questions, checkpoints, or learning materials around a YouTube video does not transfer ownership of the underlying video to the User or to Wistudi.

You remain responsible for determining whether your intended use is permitted.

Wistudi may disable or remove a YouTube integration where:

  • The video becomes unavailable.
  • Embedding is disabled.
  • The rights holder objects.
  • YouTube restricts access.
  • A legal complaint is received.
  • The integration violates YouTube policies.
  • Wistudi reasonably believes the use is unauthorised.

Wistudi is not responsible if a YouTube video is:

  • Deleted
  • Made private
  • Restricted by age
  • Restricted by country
  • Changed
  • Subject to advertisements
  • Removed for copyright reasons
  • Made unavailable by YouTube or the uploader

13. Monetisation of External Content

Unless Wistudi expressly confirms otherwise, content imported or embedded from an external platform is not eligible for Wistudi monetisation.

Only content uploaded directly to Wistudi, or content for which the Creator can prove sufficient commercial rights, may be considered for monetisation.

Wistudi may request evidence including:

  • Ownership records
  • Copyright licences
  • Commercial-use permission
  • Contributor releases
  • Music licences
  • Distribution agreements

Wistudi may withhold, suspend, or recover monetisation payments where:

  • Rights cannot be verified.
  • A complaint is received.
  • The content violates external-platform rules.
  • The Creator provided inaccurate rights information.
  • Revenue was generated through manipulation or misconduct.

14. Third-Party Services

Third-party services are operated independently from Wistudi.

Their own terms, privacy policies, availability, fees, and technical restrictions apply.

Wistudi does not control and is not responsible for:

  • Third-party outages
  • Removed content
  • Changed APIs
  • Account restrictions
  • Advertising displayed by third parties
  • Third-party data practices
  • Third-party payment failures
  • Changes to external service terms
  • Losses caused by unauthorised third-party use

Wistudi may modify or discontinue an integration where the provider changes its service, terms, access, pricing, or technical requirements.


15. Learner Content and Submissions

Learners retain ownership of their original submissions.

Learner submissions may include:

  • Written responses
  • Assignments
  • Uploaded files
  • Images
  • Whiteboards
  • Discussion contributions
  • Reflections
  • Audio or video responses

Learners grant Wistudi permission to process and display submissions to authorised Creators, instructors, and Organisations for:

  • Teaching
  • Assessment
  • Grading
  • Feedback
  • Progress tracking
  • Reporting
  • Safeguarding
  • Platform administration

Creators and Organisations must not use Learner submissions for unrelated marketing, publicity, AI training, or commercial purposes without an appropriate legal basis and any required consent.


16. Educational Content, Scores, and Results

Wistudi provides tools for learning, assessment, and reporting.

Wistudi does not guarantee that:

  • User-created content is accurate.
  • Content is appropriate for every learner.
  • A score is suitable for a formal academic decision.
  • Completion leads to a qualification or employment outcome.
  • Creator feedback is professionally qualified.
  • A User-created certificate is officially accredited.
  • Automated grading is free from configuration or technical errors.

Creators and Organisations are responsible for:

  • Reviewing their content.
  • Configuring correct answers and scores.
  • Setting appropriate passing requirements.
  • Reviewing manual submissions.
  • Correcting grading errors.
  • Explaining assessment rules.
  • Making final educational decisions.

Unless expressly stated, Wistudi certificates are not accredited qualifications.


17. AI-Assisted Features

Wistudi may provide AI-assisted tools for content creation, recommendations, feedback, or other functions.

AI-generated output may be:

  • Incomplete
  • Inaccurate
  • Biased
  • Unsuitable
  • Similar to existing material
  • Incorrectly attributed

Users must review AI-generated output before publishing or relying on it.

You are responsible for ensuring that AI-assisted content:

  • Is factually appropriate.
  • Does not infringe third-party rights.
  • Does not disclose confidential information.
  • Is suitable for the intended learners.
  • Is not used as the sole basis for a high-impact decision.

Wistudi does not guarantee ownership, originality, or exclusivity of AI-generated material.

The use of User Content for AI model training, if any, must be explained separately in the Privacy Policy and applicable product controls.


18. Prohibited Content

You must not upload, create, publish, or share content that:

  • Is illegal.
  • Infringes intellectual-property rights.
  • Exploits or endangers a child.
  • Contains child sexual abuse material.
  • Promotes terrorism or violent extremism.
  • Encourages serious violence or criminal activity.
  • Contains unlawful hate speech.
  • Harasses, threatens, or targets another person.
  • Reveals private personal information without permission.
  • Contains malicious software.
  • Facilitates fraud or impersonation.
  • Promotes dangerous acts likely to cause serious harm.
  • Promotes illegal drugs or unlawful weapons.
  • Contains unlawful sexual content.
  • Misleads learners about qualifications or accreditation.
  • Facilitates academic cheating or dishonest impersonation.
  • Violates an Organisation’s confidentiality obligations.
  • Is deliberately deceptive in a way that may cause harm.

Wistudi may apply stricter rules to content intended for children.


19. Prohibited Platform Conduct

You must not:

  • Access another User’s account without permission.
  • Bypass Platform access controls.
  • Circumvent credit, storage, sharing, or publishing limits.
  • Reverse-engineer the Platform except where law expressly permits it.
  • Introduce malware or harmful code.
  • Scrape Platform data without written permission.
  • Use bots or automated systems that place unreasonable demand on Wistudi.
  • Manipulate views, scores, reports, activity, or engagement.
  • Abuse complaints or appeal systems.
  • Interfere with Platform security.
  • Test vulnerabilities without written authorisation.
  • Use Wistudi to send spam.
  • Sell access to Wistudi without permission.
  • Copy Wistudi’s interface, documentation, or proprietary materials.
  • Use the Platform to build a competing service through unauthorised extraction.

20. Content Moderation

Wistudi may use human review, automated tools, User reports, or other reasonable processes to identify content that may breach these Terms.

Wistudi is not required to pre-approve every item of User Content.

We may:

  • Restrict access
  • Remove content
  • Disable sharing
  • Suspend publishing
  • Demonetise content
  • Apply a Needs Attention status
  • Request changes
  • Preserve evidence
  • Suspend or terminate accounts
  • Notify an Organisation
  • Report matters to relevant authorities where required

We may act immediately where content presents a credible risk involving child safety, illegal content, security, fraud, or serious harm.

Moderation does not mean that Wistudi endorses or accepts responsibility for User Content.


21. Moderation Appeals

A User may appeal an eligible moderation decision within 14 days of receiving notice.

An appeal should include:

  • The affected content
  • The decision being challenged
  • The reason the User believes the decision was incorrect
  • Relevant permissions or evidence
  • Any corrective action taken

Where reasonably practical, the appeal will be reviewed by a person who was not responsible for the original decision.

Wistudi may reject:

  • Repeated appeals without new evidence
  • Abusive or misleading appeals
  • Appeals submitted after the deadline
  • Appeals concerning content that Wistudi is legally required to remove

The appeal decision will normally be final unless new and material evidence becomes available.


22. Copyright Complaints and Takedowns

A copyright owner or authorised representative may submit a complaint to:

The complaint should include:

  • The complainant’s name and contact details
  • Identification of the protected work
  • Identification and location of the disputed content
  • An explanation of the rights claimed
  • Evidence of ownership or authority
  • A good-faith statement that the use is unauthorised
  • A statement that the information supplied is accurate

Wistudi may temporarily restrict or remove the disputed content while reviewing the complaint.

The affected User may be allowed to respond with:

  • Evidence of ownership
  • A licence
  • Written permission
  • Evidence of public-domain status
  • A valid legal exception
  • Other relevant information

Wistudi is not required to determine complex ownership disputes. We may keep content unavailable until the parties resolve the matter or a competent authority provides direction.

Users who repeatedly infringe intellectual-property rights may have their accounts terminated.

Submitting a knowingly false complaint may itself violate these Terms.


23. Wistudi Intellectual Property

Wistudi and its licensors own the Platform and its original materials, including:

  • Software
  • Source code
  • Platform architecture
  • Interface design
  • Branding
  • Logos
  • Documentation
  • Templates
  • Original illustrations
  • Databases
  • Feature names
  • Proprietary content
  • Technical systems

These Terms do not transfer ownership of Wistudi intellectual property to you.

Wistudi grants you a limited, revocable, non-exclusive, non-transferable right to use the Platform in accordance with these Terms.

You must not copy, modify, sell, license, distribute, or create derivative products from Wistudi intellectual property without permission.


24. Feedback Provided to Wistudi

If you voluntarily provide product ideas, comments, suggestions, or feedback, you permit Wistudi to use that feedback without payment or restriction.

This does not include ownership of your learning content or confidential information.

Do not submit confidential business ideas through general feedback channels unless a separate confidentiality agreement applies.


25. Publishing and Versioning

Creators are responsible for reviewing content before publication.

Wistudi may require:

  • Completed settings
  • Minimum content requirements
  • Completed Blocks
  • Sufficient credits
  • Supported formats
  • Moderation approval
  • Compliance with these Terms

Published content may use version controls.

Learners who start an earlier version may remain on that version to protect their:

  • Progress
  • Scores
  • Attempts
  • Submissions
  • Completion records

Wistudi does not guarantee that every edit can be applied to active learner versions.


26. Sharing and Access Controls

Wistudi may provide:

  • Standard Share
  • Live Share
  • Private links
  • Limited-use links
  • Organisation access
  • Expiring links
  • Managed learner access

Creators are responsible for selecting appropriate sharing settings.

Users must not forward restricted links without permission.

Wistudi may deny or remove access where:

  • A link expires.
  • An access limit is reached.
  • The content is archived or withdrawn.
  • The User is using an unauthorised account.
  • The Creator removes access.
  • The Organisation removes access.
  • The content violates these Terms.
  • Access presents a security or legal risk.

A shared link does not transfer ownership of content.


27. Live Teaching and Events

Creators are responsible for:

  • Scheduling sessions accurately.
  • Providing suitable instructions.
  • Managing participants.
  • Selecting appropriate content.
  • Obtaining recording consent where required.
  • Protecting access links.
  • Following safeguarding requirements.
  • Following the terms of connected conferencing services.

Wistudi does not guarantee attendance, participant behaviour, or uninterrupted access to third-party conferencing services.

Users must not record, distribute, or republish a live session without the required permission.


28. Credits

Credits are internal Platform units used for selected publishing actions, Blocks, or features.

Unless stated otherwise:

  • Purchased credits expire 24 months after purchase.
  • Promotional credits expire 12 months after issue, or on an earlier date clearly displayed when issued.
  • The oldest eligible credits are used first.
  • Credits have no cash value.
  • Credits are non-transferable.
  • Credits cannot be resold.
  • Used credits are not refundable except where required by law.
  • Credits may not be used outside Wistudi.

The price and number of credits required must be displayed before the relevant transaction is confirmed.

Wistudi may change the cost of future actions but will not retroactively charge additional credits for a completed transaction.

Where content cannot be published because of a verified Wistudi error, Wistudi may restore the affected credits.

Credits obtained through fraud, payment reversal, error, or misuse may be removed.


29. Storage

Each standard User account includes up to 5 GB of storage, unless a different allowance is shown for the applicable plan.

Storage may be used by:

  • Uploaded videos
  • Images
  • PDFs
  • Documents
  • Audio
  • Resources
  • Profile media
  • Other uploaded files

When the limit is reached, new uploads may be blocked.

Wistudi will not ordinarily delete existing active content solely because the limit has been reached.

Wistudi may change future storage allowances with reasonable notice.

Users are responsible for:

  • Managing storage.
  • Removing unnecessary files.
  • Keeping independent backups.
  • Ensuring uploaded files are lawful.
  • Avoiding unnecessary duplicate uploads.

Deleting a file may affect content that relies on it.


30. Paid Plans and Subscriptions

Some Wistudi services may be provided through paid plans.

Before purchase, Wistudi will display:

  • The price
  • Applicable taxes
  • Billing frequency
  • Included features
  • Storage or credit allowances
  • Whether the plan renews automatically
  • How to cancel

Unless stated otherwise, a recurring subscription automatically renews for the same billing period until cancelled.

You authorise Wistudi or its payment provider to charge the applicable payment method.

Wistudi may change future subscription prices by providing reasonable advance notice.

A price change will normally apply from the next renewal date.


31. Cancelling a Subscription

You may cancel a recurring subscription through the available account or billing controls.

Cancellation normally:

  • Prevents the next renewal.
  • Does not immediately end the current paid period.
  • Allows access until the end of the current billing period.
  • Does not provide a partial refund for unused time unless required by law.

After the paid period ends, access to premium features may be reduced.

Content that exceeds the free storage or feature allowance may become restricted until the User:

  • Upgrades again
  • Reduces storage
  • Exports content
  • Removes affected content

Wistudi should provide a reasonable opportunity to manage affected content.


32. Consumer Cancellation Rights

Consumers may have statutory cancellation rights depending on their location.

Where UK consumer law applies, a consumer may generally have a 14-day cancellation period for qualifying online contracts.

If you request immediate access to a paid digital service during that period, you expressly consent to performance beginning immediately.

Where legally permitted:

  • You may be charged a proportionate amount for services already supplied.
  • You may lose the cancellation right for fully supplied digital content after giving the required consent and acknowledgement.

Nothing in these Terms removes consumer rights that cannot legally be excluded.


33. Refunds

Refunds may be provided where:

  • Required by applicable law
  • A duplicate payment was taken
  • Wistudi charged the wrong amount
  • A paid service was not supplied
  • A verified technical failure prevented use of the purchased service
  • Wistudi expressly agrees to a refund

Refunds are not normally provided for:

  • Change of mind after statutory rights expire
  • Used credits
  • Partially used subscription periods
  • Failure to cancel before renewal
  • Content removed for violating these Terms
  • Third-party content becoming unavailable
  • User device or network problems
  • Failure to use purchased services

Refund requests should be submitted to:

34. Taxes and Payment Providers

Prices may be displayed exclusive or inclusive of taxes depending on the User’s location.

Users are responsible for providing accurate billing and tax information.

Payments may be processed by third-party payment providers. Their own terms and privacy policies apply.

Wistudi does not store complete payment-card information where payments are handled entirely by an authorised provider.


35. Privacy and Personal Data

Wistudi processes personal information in accordance with its Privacy Policy.

The Privacy Policy must explain:

  • Information collected
  • Purposes of processing
  • Legal bases
  • Retention
  • User rights
  • International transfers
  • Security
  • Cookies
  • Children’s information
  • Third-party services
  • Support contacts

Users must not upload unnecessary sensitive personal information.

Creators and Organisations must only access learner information for legitimate purposes such as:

  • Teaching
  • Assessment
  • Administration
  • Safeguarding
  • Reporting
  • Support

They must not sell learner information or use it for unrelated advertising.


36. Data Processing for Schools and Organisations

Where an Organisation determines why and how learner information is used, it will normally act as the data controller.

Where Wistudi processes that information on the Organisation’s instructions, Wistudi will normally act as a data processor.

The Wistudi Data Processing Addendum should address:

  • Processing instructions
  • Confidentiality
  • Security
  • Subprocessors
  • International transfers
  • Data-subject rights
  • Breach notification
  • Data deletion and return
  • Audits and compliance information

The exact legal roles may vary depending on the feature and processing activity.


37. Platform Availability

Wistudi aims to provide a reliable service, but uninterrupted access cannot be guaranteed.

The Platform may be unavailable because of:

  • Maintenance
  • Updates
  • Security work
  • Hosting failures
  • Internet problems
  • Third-party outages
  • External API changes
  • Events outside Wistudi’s reasonable control

Wistudi may modify, replace, restrict, or discontinue features.

Where reasonably possible, notice will be provided for material changes affecting paid services.


38. Beta and Preview Features

Features marked as Beta, Preview, Prototype, Experimental, or Coming Soon may:

  • Be incomplete
  • Change without notice
  • Contain errors
  • Have limited support
  • Produce incomplete results
  • Be withdrawn

Users must not rely on experimental features for critical educational, safeguarding, financial, or legal decisions.


39. Suspension and Termination by Wistudi

Wistudi may suspend, restrict, or terminate an account where reasonably necessary because of:

  • A breach of these Terms
  • Illegal activity
  • Copyright infringement
  • Child-safety concerns
  • Fraud
  • Unpaid fees
  • Security risks
  • Harassment or abuse
  • Misuse of learner information
  • Attempts to disrupt the Platform
  • Repeated harmful content
  • Breach of third-party platform terms

Where appropriate, Wistudi may provide notice and an opportunity to correct the problem.

Immediate action may be taken where necessary to protect Users, children, systems, data, or legal rights.


40. Closing Your Account

You may request account closure through available account controls or by contacting Support.

Before closing your account, you should export any content or information you need.

Account closure may affect:

  • Created content
  • Learning progress
  • Reports
  • Shared links
  • Published content
  • Learner access
  • Credits
  • Stored files
  • Organisation membership

Subject to legal, contractual, backup, safeguarding, and security requirements, Wistudi may delete account data after a reasonable closure period.

Unused credits may expire when an account is permanently closed and are not redeemable for cash, except where required by law.


41. Disclaimers

Wistudi is provided on an “as available” basis.

To the extent permitted by law, Wistudi does not guarantee that:

  • The Platform will always be uninterrupted.
  • Every feature will be error-free.
  • User Content will be accurate.
  • External content will remain available.
  • Third-party integrations will continue.
  • Learning content will produce a particular result.
  • Reports are suitable for every formal decision.
  • Content will never be lost.

Nothing in these Terms excludes warranties or statutory rights that cannot legally be excluded.


42. Limitation of Liability

Nothing in these Terms limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Deliberate misconduct
  • Liability that cannot legally be limited

For consumers, Wistudi is responsible for reasonably foreseeable losses caused by Wistudi’s breach of these Terms.

Wistudi is not responsible for losses caused by:

  • User Content
  • Unauthorised external content
  • Third-party services
  • Content removal by an external provider
  • User configuration errors
  • Inaccurate creator grading
  • Loss of access caused by a User
  • Events outside Wistudi’s reasonable control

For business Users and Organisations, Wistudi will not be liable for indirect or consequential loss, including loss of:

  • Profit
  • Revenue
  • Business
  • Opportunity
  • Reputation
  • Anticipated savings
  • Data not separately backed up

Subject to the exclusions above, Wistudi’s total liability arising from the Platform will not exceed the greater of:

  • £100, or
  • The total fees paid by the affected User or Organisation to Wistudi during the 12 months immediately before the event giving rise to the claim.

This proposed cap must be reviewed by UK legal counsel before publication.


43. Business and Organisation Indemnity

To the extent permitted by law, Creators, business Users, and Organisations agree to compensate Wistudi for reasonable claims, losses, liabilities, and costs resulting from:

  • Their unlawful User Content
  • Their infringement of third-party rights
  • Their unlawful use of external videos
  • Their failure to obtain required permissions
  • Their misuse of learner information
  • Their violation of safeguarding duties
  • Their breach of these Terms
  • Their unauthorised commercial use of content

This section does not apply to individual consumers where prohibited by law.


44. Changes to These Terms

Wistudi may update these Terms to reflect:

  • New features
  • Legal requirements
  • Security needs
  • Commercial changes
  • Platform improvements
  • Third-party provider requirements

The updated Terms will show a revised date.

Where a change materially affects Users, Wistudi may provide notice through:

  • Email
  • Platform notifications
  • Account messages
  • A notice on the website

Further consent will be requested where required by law.


45. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes, subject to any mandatory rights available to consumers in their country of residence.

Users in the Asia-Pacific region may also benefit from consumer, privacy, or other protections that cannot legally be excluded by these Terms.

Before beginning formal proceedings, the parties should attempt to resolve the dispute through Wistudi’s complaint process.


46. General Provisions

If part of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply.

A delay in enforcing a right does not waive that right.

You may not transfer your account or contractual rights without Wistudi’s written permission.

Wistudi may transfer its rights and obligations as part of a merger, acquisition, financing, restructuring, or sale of its business.

These Terms do not create a partnership, employment relationship, agency, or joint venture between Wistudi and a User.

This Credit Usage Policy explains how credits are purchased, awarded, stored, used, restored, and managed on Wistudi.

It forms part of the Wistudi Terms and Conditions. By purchasing, receiving, or using credits, you agree to this Policy and the Terms and Conditions.


1. About Wistudi Credits

Credits are digital platform units used for selected creator actions on Wistudi.

Credits are primarily used to publish eligible learning content and access selected advanced creation features.

Credits are not:

  • Money
  • A bank balance
  • Cryptocurrency
  • A stored-value payment account
  • Transferable property
  • Redeemable for cash

Having credits does not create an ownership interest in Wistudi or guarantee permanent access to every feature.


2. Who Can Use Credits?

Credits are intended for eligible creators, instructors, organisations, and other authorised account holders.

Users must be at least 16 years old to purchase credits independently.

Users under 16 may only use credits provided or managed through an approved:

  • School account
  • Organisation account
  • Parent- or guardian-authorised account

Learners do not normally need credits to access or complete content shared with them.


3. What Credits Are Used For

Credits may be required for:

  • Publishing Pages within a Flow
  • Publishing eligible Interactive Videos
  • Publishing a new content version
  • Using selected Extended Blocks
  • Using selected Premium Blocks
  • Accessing designated advanced creator features
  • Other actions clearly identified as credit-based

Wistudi will show the required credit amount before a credit-based action is confirmed.

Credits are currently used for publishing and selected creator functionality. Wistudi does not currently charge creators according to the number of learner seats accessing published content.

Separate enterprise or organisation agreements may contain different pricing arrangements.


4. Actions That Do Not Normally Use Credits

Credits are not normally deducted when you:

  • Create an account
  • Access Learner Space
  • Complete shared learning content
  • Create an initial draft
  • Edit an unpublished draft
  • Preview your own content
  • Save changes
  • Reorder Pages or Blocks
  • Review learner activity
  • Grade learner submissions
  • Provide feedback
  • Use standard account settings
  • Allow additional learners to access content

A credit charge only applies when Wistudi clearly identifies the action as credit-based.


5. Block Levels

Wistudi may classify Blocks into three levels:

Basic Blocks

Basic Blocks provide standard content or activity functionality.

They use the Basic publishing rate when they are the highest-level eligible Blocks on a Page.

Extended Blocks

Extended Blocks provide more advanced interactions or functionality.

A Page containing an Extended Block may use the Extended publishing rate.

Premium Blocks

Premium Blocks provide specialised or advanced functionality.

A Page containing a Premium Block may use the Premium publishing rate.

Blocks that are not yet available may display Coming Soon and cannot be used until released.

Formatting Blocks that do not have a Basic, Extended, or Premium classification do not increase the publishing level of a Page.


6. How Flow Publishing Costs Are Calculated

Flow publishing costs are normally calculated per Page.

The publishing level of each Page is determined by the highest-level eligible Block included on that Page.

7. Publishing Cost Example

A Flow contains four Pages:

  • Page 1 contains Basic Blocks.
  • Page 2 contains Basic and Extended Blocks.
  • Page 3 contains Premium Blocks.
  • Page 4 contains Basic Blocks.

The total publishing cost would be calculated using:

  • Two Basic Page charges
  • One Extended Page charge
  • One Premium Page charge

The exact number of credits required for each level will be displayed within Wistudi before the creator confirms publication.


8. When Credits Are Deducted

Credits are deducted only after the User confirms an eligible credit-based action.

For publishing, credits should be deducted when:

  1. The content meets the publishing requirements.
  2. The final credit cost is displayed.
  3. The User confirms the publication.
  4. Wistudi begins or completes the publishing action.

Adding a Block to a draft does not itself deduct credits unless the Platform clearly states otherwise.

However, Wistudi may prevent a User from adding or activating an Extended or Premium Block when the account does not meet the minimum credit requirement for that Block level.


9. Publishing Confirmation

Before credits are deducted, Wistudi should display:

  • The content being published
  • The number of Pages or items included
  • The relevant Block levels
  • The total credit cost
  • The current credit balance
  • The balance remaining after publication
  • Any applicable taxes or payment requirements

The User must confirm the action before credits are used.

Users are responsible for reviewing this information before confirming publication.


10. Minimum Publishing Requirements

Having enough credits does not automatically mean content can be published.

Content must also meet applicable publishing requirements, which may include:

  • Required settings completed
  • Required information saved
  • Minimum content added
  • Visible Blocks completed
  • No unresolved errors
  • Supported file formats
  • Compliance with Wistudi policies
  • Moderation approval where required

Credits will not override incomplete content, platform restrictions, or policy violations.


11. Insufficient Credit Balance

When an account does not have enough credits:

  • The publishing action may be disabled.
  • Extended or Premium Blocks may be unavailable.
  • A notice may show the required balance.
  • The User may be asked to purchase or earn additional credits.
  • Existing drafts should remain saved.
  • Existing published content should remain available unless another restriction applies.

Wistudi will not normally delete content solely because an account has insufficient credits.


12. Purchasing Credits

Credits may be purchased through the payment options available within Wistudi.

Before purchase, Wistudi will display:

  • The number of credits
  • The total price
  • Applicable taxes
  • Currency
  • Payment method
  • Any purchase restrictions
  • Applicable cancellation or refund information

Credits are added to the account after payment has been successfully confirmed.

Payment processing may be provided by an authorised third-party payment provider.


13. Promotional and Reward Credits

Wistudi may issue free or promotional credits for:

  • Completing onboarding
  • Creator milestones
  • Promotional campaigns
  • Events
  • Partnerships
  • Referral programmes
  • Service recovery
  • Other approved activities

Promotional credits may be subject to:

  • An expiry date
  • Usage restrictions
  • Account restrictions
  • Campaign-specific terms
  • Maximum redemption limits

The expiry date and any special conditions must be shown when the credits are issued.

Promotional credits have no cash value and cannot be exchanged for money.


14. Credit Expiration

Purchased credits

Purchased credits do not expire while:

  • The account remains active
  • The account is in good standing
  • Wistudi continues to operate the relevant credit system

Promotional credits

Promotional, complimentary, or reward credits may expire.

Unless another expiry date is clearly displayed, promotional credits expire 12 months after they are issued.

Wistudi will use credits with the nearest expiry date first where technically possible.


15. Changes to Credit Prices

Wistudi may change the number of credits required for future actions.

Changes may reflect:

  • New features
  • Block complexity
  • Processing costs
  • Platform development
  • Commercial changes
  • Promotional pricing

Any change will apply only to future transactions.

Wistudi will not:

  • Retroactively add charges to completed publications
  • Reduce the number of credits already recorded in an account without a valid reason
  • Charge credits without displaying the applicable cost

Where a material pricing change affects existing Users, Wistudi should provide reasonable notice.


16. Editing Published Content

Minor permitted edits to published content may not require an additional credit payment.

Examples may include:

  • Correcting spelling
  • Updating non-graded text
  • Replacing minor supporting information
  • Making permitted visual adjustments

A new credit charge may apply when a change:

  • Creates a new version
  • Adds new Pages
  • Adds Extended or Premium Blocks
  • Changes the publishing level of a Page
  • Introduces major graded content
  • Requires the content to be republished
  • Uses another credit-based feature

The applicable cost must be shown before the updated version is published.


17. New Versions

Creating a Draft Version does not normally deduct credits.

Credits may be charged when the Draft Version is published.

The cost may be based on:

  • Newly added Pages
  • Changed Page classifications
  • Added Extended or Premium Blocks
  • The current version-publishing rules
  • Any other charge displayed before confirmation

Wistudi will not deduct credits merely because a creator opens or edits a Draft Version.


18. Deleting, Archiving, or Unpublishing Content

Credits are not normally restored when a User:

  • Deletes content
  • Archives content
  • Removes a Page
  • Removes a Block
  • Unpublishes content
  • Stops sharing content
  • Changes their mind after successful publication
  • Replaces published content
  • Chooses not to use the published content

Credits pay for the completed publishing or feature action, not for a guaranteed amount of learner activity.

Deleting or archiving content does not reverse a completed publishing transaction.


19. Failed Publishing Actions

Credits should not be permanently deducted when publication fails solely because of a verified Wistudi technical error.

Where a failure occurs, Wistudi may:

  • Automatically restore the credits
  • Retry the publication without a second charge
  • Manually restore the credits after review

A User should contact Support when credits are deducted but the content does not publish successfully.

The request should include:

  • Account email
  • Content title
  • Approximate time of the transaction
  • Credits deducted
  • Screenshot or error message when available

20. Duplicate Credit Charges

If credits are deducted more than once for the same confirmed action because of a verified Wistudi error, the duplicate amount will be restored.

This does not apply where the User separately confirmed two distinct actions, publications, or versions.


21. Content Removed for Policy Violations

Credits are not normally restored when published content is removed, restricted, or disabled because it:

  • Infringes copyright
  • Uses external content without permission
  • Violates Wistudi’s Terms and Conditions
  • Breaches the Acceptable Use Policy
  • Contains prohibited material
  • Violates third-party platform rules
  • Was published using false or misleading information

Creators are responsible for confirming that they have the right to use and publish all content before spending credits.


22. External Video Availability

Credits are not normally restored merely because an external video later becomes:

  • Deleted
  • Private
  • Geographically restricted
  • Age restricted
  • Unavailable for embedding
  • Removed for copyright reasons
  • Restricted by YouTube, Vimeo, or another provider
  • Unavailable because of a third-party outage

The creator is responsible for checking external content before publication and maintaining suitable replacement content.

A refund or credit restoration may be considered where a verified Wistudi integration error—not the external provider—caused the publication to fail.


23. Credit Refunds

Unused credits may be refunded only where:

  • Required by applicable law
  • A duplicate payment occurred
  • The wrong amount was charged
  • Credits were never delivered
  • A verified Wistudi error prevented the purchased credits from being used
  • Wistudi expressly approves the refund

Credits already used for a completed publication or feature action are not normally refundable.

Nothing in this Policy removes statutory consumer rights. UK consumers may have cancellation rights for qualifying online purchases, subject to the rules applying to digital content or services and whether immediate delivery or use was requested.


24. Immediate Access to Purchased Credits

Credits are normally made available immediately after purchase.

Where required, Wistudi may ask the purchaser to:

  • Request immediate supply
  • Acknowledge that the credits will be available before the cancellation period ends
  • Acknowledge that using the credits may affect the right to cancel or the amount refundable

Any statutory rights that cannot legally be excluded will continue to apply.


25. Credit Transfers

Credits are assigned to the account or Organisation that receives them.

Unless Wistudi expressly provides a supported transfer feature, credits cannot be:

  • Transferred to another User
  • Sold
  • Traded
  • Gifted
  • Exchanged between personal accounts
  • Moved after account closure
  • Combined with another account

Organisation plans may allow authorised administrators to allocate or manage credits under separate terms.


26. No Cash Value

Credits:

  • Cannot be withdrawn as money
  • Cannot be converted into cash
  • Cannot earn interest
  • Cannot be used outside Wistudi
  • Cannot be used as payment between Users
  • Cannot be pledged or used as financial security

Credits are only a method of accessing eligible Wistudi actions.


27. Account Closure

Before voluntarily closing an account, Users should use any valid credits they wish to retain.

Unused purchased credits are not automatically refunded when a User voluntarily closes their account, except where required by law or agreed by Wistudi.

Promotional credits end when the account is permanently closed.

If Wistudi permanently discontinues the credit system or closes an account without User fault, Wistudi may provide one or more of the following:

  • A reasonable period to use remaining credits
  • Conversion to replacement platform benefits
  • A refund for eligible unused purchased credits
  • Another fair remedy required by law

28. Suspended or Restricted Accounts

Credits may be temporarily unavailable while an account is suspended or under investigation.

Wistudi may restrict credit use where there is suspected:

  • Fraud
  • Payment abuse
  • Account compromise
  • Copyright infringement
  • Policy evasion
  • Credit manipulation
  • Unauthorised resale
  • Platform abuse

A temporary restriction does not automatically remove the credit balance.

The final treatment of unused purchased credits will depend on the reason for the restriction and applicable law.


29. Payment Reversals and Chargebacks

If a credit purchase is reversed, cancelled, disputed, or charged back:

  • Unused credits from that transaction may be removed.
  • The account may be temporarily restricted.
  • A negative balance may be recorded if the credits were already used.
  • Future publishing may be disabled until the balance is resolved.
  • Wistudi may request payment for credit-based services already supplied.

Users should contact Support before initiating a chargeback where possible so that billing errors can be investigated.


30. Credit Records

Wistudi may maintain a credit transaction record showing:

  • Credits purchased
  • Credits awarded
  • Credits used
  • Credits restored
  • Promotional expiry
  • Transaction date
  • Related publication or action
  • Current balance

Users should review their credit record and report suspected errors promptly.

The Platform’s transaction records will normally be treated as the primary record unless the User provides evidence of an error.


31. Credit Disputes

To dispute a credit transaction, contact Support and provide:

  • Account email
  • Transaction date
  • Credit amount
  • Content or feature involved
  • Reason for the dispute
  • Supporting screenshots or receipts

Wistudi will review:

  • Payment records
  • Platform activity
  • Publishing records
  • Error logs
  • Account history

Submitting false or misleading credit claims may result in account restrictions.


32. Misuse of Credits

Users must not:

  • Exploit technical errors to obtain credits
  • Create multiple accounts to collect promotional credits
  • Manipulate reward programmes
  • Resell credits
  • Transfer accounts to transfer credits
  • Use stolen payment information
  • Reverse a valid payment after using credits
  • Interfere with credit calculations
  • Circumvent publishing requirements

Wistudi may correct balances and restrict accounts where credit misuse is identified.


33. Organisation Accounts

Where credits are purchased by a school, business, or Organisation:

  • The Organisation owns and controls the purchased credit allocation.
  • Authorised administrators may manage credit use.
  • Individual Users may only use credits within their assigned permissions.
  • Credits remain subject to the Organisation’s plan or agreement.
  • A User leaving the Organisation does not automatically take allocated credits with them.
  • Separate commercial terms may override parts of this Policy.

Organisation administrators are responsible for deciding which Users may spend shared or allocated credits.


34. Platform Changes

Wistudi may update this Policy to reflect:

  • New content types
  • New publishing models
  • New credit features
  • Legal requirements
  • Pricing changes
  • Security improvements
  • Changes to organisation plans

Material changes will be communicated through the Platform, email, or another reasonable method.

Changes will not retroactively alter completed credit transactions.
